Terms of Service
In short
You keep ownership of your data. We provide the software and keep it running. Subscriptions bill per plan with extra seats charged per member, and either of us can end the arrangement.
These terms cover your use of the Spatchr Android app, the web app at app.spatchr.com, and this website. By creating an account you agree to them.
Spatchr is operated by [LEGAL ENTITY — see src/data/legalEntity.ts], [ENTITY TYPE], at [POSTAL ADDRESS] (“we”, “us”).
Your account
You need an account to use Spatchr. You are responsible for what happens under it, for keeping your sign-in secure, and for the accuracy of what you tell us. One person, one account — do not share credentials. If you need another person to have access, invite them as a crew member so their actions are attributable to them.
You must be old enough to enter a contract where you live, and you must use Spatchr lawfully.
Businesses, crews and roles
A business in Spatchr holds a set of records. The person who creates it is its owner. Owners can invite members and assign roles that determine what each person can see and change.
The owner is responsible for who they invite and what those people do. If a member leaves, remove them — their access ends when you say it does, not when they stop showing up.
Subscriptions, seats and payment
Spatchr is sold as a subscription. Each plan includes a number of seats; members beyond that number are billed as additional seats, and the count follows your active membership list. One billing account covers all of the businesses you own.
- Billing runs through Stripe. We never see or store your card number.
- Purchases happen on the web. In the Android app you can view your subscription, but you are handed off to the web to buy or change it.
- Charges renew automatically for the period you chose, until cancelled.
- Cancelling stops future charges. It takes effect at the end of the period you have paid for, and we do not pro-rate a partial period unless the law where you live requires it.
- Prices can change. We will tell you before a change affects you, and you can cancel instead.
- Taxes may be added where applicable.
If a payment fails or a subscription lapses, your account may become read-only: you keep access to your data and can export it, but you may not be able to add or change records until billing is current. We do not delete your data because you stopped paying.
Your data is yours
You own the records you put into Spatchr. We claim no ownership of them.
You give us only the permission needed to run the service: to store your data, transmit it between your devices and your crew, back it up, and display it to you. That permission ends when you delete the data or close your account.
You are responsible for having the right to hold the information you enter about your customers, and for using it lawfully.
We may use aggregated, de-identified information — counts and usage patterns that cannot be traced to you or your customers — to understand and improve the product.
What you may not do
Do not use Spatchr to break the law or to store unlawful content. Do not attempt to access another business’s data, probe or interfere with the service’s security, resell or white-label the service without written permission, or reverse-engineer it except where that right cannot be waived by law. Do not use it to send unsolicited bulk messages.
We may suspend an account that is causing harm to the service or to other users. Where it is safe and lawful to do so, we will tell you first.
Availability
We work to keep Spatchr running, but we do not promise uninterrupted service. Maintenance happens, providers have outages, and networks fail.
This is worth saying plainly: on Android, your data lives on the device, so an outage on our side does not stop you working. Sync resumes when the service returns. On the web, an outage means you cannot reach your data until it is resolved.
Ending the arrangement
You can stop at any time by cancelling your subscription and deleting your account. Export your data first — deletion is described at /data-deletion/ and is not reversible once complete.
We may terminate or suspend an account that materially breaches these terms. Except in cases of abuse or legal necessity, we will give you notice and a reasonable chance to export your data.
If we ever discontinue Spatchr, we will give you at least 60 days’ notice and keep the export working through that period.
Warranties and liability
Spatchr is provided “as is”. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Measurements and prices produced by Spatchr are estimates from the information given to it. They are a tool for quoting work, not a survey and not professional advice. Check them before you rely on them in a binding quote.
To the fullest extent the law allows, our total liability for any claim relating to Spatchr is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect, incidental, special or consequential damages, or for lost profits or lost data.
Some jurisdictions do not allow these limits. Where that is the case, they do not apply to you.
Changes to these terms
We may update these terms. If a change is material, we will notify you in the app before it takes effect and update the date at the top. Continuing to use Spatchr after that means you accept the new version. If you do not, cancel and export your data.
Governing law
These terms are governed by the laws of the State of [STATE], without regard to its conflict-of-law rules. Disputes will be heard in the courts located there, and both sides consent to that venue.
